1. Definitions

“Outcome OS” (or “Service”) means the early-access, invitation-only productivity and workflow-management platform incorporating AI features, currently in private beta.

“Provider,” “we,” “us,” or “our” refers to Benito Alvarez, the individual creator and operator of Outcome OS.

“User,” “you,” or “your” refers to the individual or entity granted access to the Service under these Terms.

“User Data” means any data, content, or materials you submit to or generate through the Service, including information fed to or produced by the integrated AI systems.

“Beta Period” means the period during which the Service is offered without charge and prior to any commercial launch.

2. Acceptance of Terms

By accessing or using Outcome OS, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not access or use the Service.

3. Beta Service Provided “AS IS”

  1. Experimental Nature. Outcome OS is in pre-release beta. Functionality may change, break, or be discontinued at any time without notice.
  2. No Fees. During the Beta Period the Service is offered free of charge. We reserve the right to introduce paid plans in the future.
  3. No Warranty. The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including fitness for a particular purpose, merchantability, and non-infringement.
  4. Support. We may provide informal support by email or chat but make no commitment to any specific response times or uptime levels.

4. Invitations & Eligibility

  • Access is granted solely by private invitation. You may not share, transfer, or resell your invitation codes or login credentials.
  • You represent that you are at least 18 years old and legally capable of entering into contracts.

5. Account Obligations

You agree to:

  1. Provide accurate registration information and keep it current.
  2. Maintain the confidentiality of your password and restrict access to your account.
  3. Notify us immediately of any unauthorized use of your account.
  4. Use the Service only for lawful purposes and in compliance with these Terms and all applicable laws.

6. Rules of Use

You must not:

  • Reverse-engineer, decompile, or attempt to access the source code of the Service or its AI models.
  • Upload or transmit any malware, unlawful, or obscene content.
  • Use the Service to generate or disseminate content that infringes third-party rights or violates any law.
  • Exploit, disable, or circumvent any security or usage-limiting features.
  • Misrepresent the origin of output generated by the Service.

7. User Data & Privacy

  1. Ownership. You retain all rights to User Data, subject to the license granted below.
  2. License to Provider. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process User Data solely to operate and improve the Service.
  3. AI Processing. User Data may be processed by third-party AI providers (e.g., OpenAI) under terms that require comparable confidentiality. You acknowledge and consent to such processing.
  4. Data Location & Transfers. User Data may be stored and processed on servers located outside your jurisdiction. By using the Service, you consent to those transfers.
  5. Deletion. Upon written request we will delete or anonymize your User Data within a reasonable time, subject to legal retention obligations.

8. Intellectual Property

Except for User Data, all intellectual-property rights in the Service—including design, software, documentation, and trademarks—are owned by or licensed to the Provider. No rights are granted except as expressly set forth in these Terms.

9. Feedback

You may submit feedback, suggestions, or ideas (collectively, “Feedback”). You grant us a perpetual, irrevocable, worldwide, royalty-free right to use such Feedback for any purpose without obligation or compensation to you.

10. Confidentiality

Because Outcome OS is in private beta, all non-public information you receive about the Service (including screenshots and performance data) is confidential. You agree not to disclose such information without our prior written consent.

11. Termination

We may terminate or suspend your access at any time, with or without notice, for any reason. Upon termination, Sections 7–15 will survive.

You may terminate these Terms by discontinuing use of the Service and requesting deletion of your account.

12. Disclaimers

To the maximum extent permitted by law, the Provider disclaims all liability for any loss or damage arising from your use of—or inability to use—the Service, including loss of data or business interruption.

13. Limitation of Liability

In no event will the Provider’s aggregate liability exceed one hundred US dollars (US $100). The foregoing limitation applies to all causes of action, whether in contract, tort, or otherwise.

14. Indemnification

You agree to indemnify and hold the Provider harmless from any claim, liability, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms or misuse of the Service.

15. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Service after a change constitutes acceptance of the new Terms. Material changes will be communicated via email or prominent notice on the Site.
